We have extensive experience in helping our clients with the employment law aspects of corporate transactions and commercial issues, from smaller and medium size business sales and acquisitions through to large and complex transactions.
We also work alongside specialist property lawyers to advise and assist clients with the TUPE and other employment law implications of property sales and purchases.

Our work in this area includes:

  • Advising on employment due diligence
  • Calculating actual and potential employment related liabilities connected to the transaction
  • Advising regarding the effect of TUPE on relevant business transfers – including information and consultation obligations, pre and post-completion dismissals and harmonisation of terms
  • Drafting and negotiating employment warranties and indemnities in transactional documents so as to protect our client and / or minimise their liabilities
  • Advising and drafting transaction related bonuses and other schemes
  • Sourcing and co-ordinating employment law advice from other jurisdictions in cross-border transactions
Commercial clients instruct us to work alongside the corporate or property lawyer leading the transaction because they realise the advantages of working with an employment lawyer who has a good understanding of their business, and who they know and trust.
Over the years our partners have worked seamlessly alongside many lawyers at other firms, including large regional and national firms.

Some examples of the work we have undertaken in this area are:

  • Working with a national law firm to prepare a report to the Board and majority shareholder regarding high-level employment issues ahead of a substantial private equity investment
  • Liaising with a United States employment law specialist about the winding up of a client’s operations in the USA
  • Working alongside a large regional practice on the circa £20 million disposal of a business
  • Working in tandem with a national law firm to advise regarding employment related obligations in a non-disclosure agreement entered into by a client’s parent company
  • Drafting earn-out incentive schemes for directors

We have instructed Lee for over 15 years – including on a number of matters where he has worked alongside corporate and property lawyers from other firms. The Board and the HR team have always found Lee to be very responsive, and his advice to be pragmatic and commercial.
